Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and D Is For Family LLC, doing business as C Dell and as Cockpit(“Cockpit,” “we,” “us”), governing your access to and use of the Cockpit platform and the website at agentscockpit.com(the “Service”). By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Cockpit is an AI-assisted, human-supervised sales platform. It sources and enriches leads, scores them, drafts outreach, and — only after a human approves each irreversible action — sends messages and proposes or books meetings. We may add, change, or remove features at any time.

2. Eligibility & accounts

• You must be at least 18 and able to form a binding contract.
• You are responsible for your account, your credentials, and all activity under your account.
• Access is role-based (admin vs. viewer); only admins may change settings, approve actions, or manage users.
• Notify us promptly of any unauthorized use at contact@c-dell.com.

3. Your data & responsibilities

• You represent that you have the rights and any required consents to upload, connect, and process the data you provide or direct the Service to obtain (including CRM and lead data).
• You are responsible for your outreach. You will comply with all applicable laws, including anti-spam laws (e.g., CAN-SPAM, CASL) and data-protection laws (e.g., GDPR/UK GDPR, CCPA/CPRA). You are the sender of record for messages you approve.
• You will honor opt-out/unsubscribe requests; the Service maintains a suppression list, but you remain responsible for compliance.
• You will not use the Service to send unlawful, deceptive, harassing, or unsolicited bulk messaging in violation of law.

4. Acceptable use

You will not, and will not permit others to:

• violate any law or third-party right, or infringe intellectual property;
• scrape gated sources, circumvent access controls, or solve CAPTCHAs to obtain data;
• reverse engineer, disrupt, overload, or attempt to gain unauthorized access to the Service;
• use the Service to make payments, sign contracts, move money, or take any action we designate as prohibited; or
• misrepresent the AI-assisted nature of communications where disclosure is legally required.

5. Third-party services

The Service integrates with third parties (including Google, Attio, Apollo, Anthropic, Neon, Vercel, Discord, and any email provider you enable). Your use of those services is subject to their terms and policies, and we are not responsible for them. Google-provided data is handled per our Privacy Policy and the Google API Services User Data Policy.

6. AI output & human approval

The Service uses automated systems and AI models that can produce inaccurate or incomplete output. AI-generated drafts, scores, and rationales are suggestions, not professional advice, and may contain errors. Every irreversible outward action (sending, posting, booking) is gated for human approval; you are responsible for reviewing and approving such actions.

7. Intellectual property

We and our licensors own the Service, including its software, design, and trademarks (including C Dell and Cockpit). You retain ownership of your data; you grant us a limited license to host and process it solely to provide the Service. We may use aggregated, de-identified data to operate and improve the Service.

8. Fees

Fees, if any, are as agreed in a separate order or arrangement. Third-party provider charges (e.g., API credits) are your responsibility.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY OUTREACH WILL ACHIEVE ANY PARTICULAR RESULT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, D IS FOR FAMILY LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100).

11. Indemnification

You will defend, indemnify, and hold harmless D Is For Family LLC from claims, damages, and expenses (including reasonable legal fees) arising out of your data, your outreach, or your breach of these Terms or applicable law.

12. Term & termination

These Terms apply while you use the Service. We may suspend or terminate access for breach or to protect the Service. You may stop using the Service at any time. Sections that by their nature should survive termination (e.g., 7–11) will survive.

13. Governing law

These Terms are governed by the laws of the United States and of the state in which D Is For Family LLC is organized, without regard to conflict-of-laws principles. The courts located in that state will have exclusive jurisdiction, and you consent to their venue.

14. Changes to these Terms

We may update these Terms; we will revise the “Last updated” date and, for material changes, provide additional notice. Continued use after changes take effect constitutes acceptance.
